Terms of Service for Brainlist: Plan Your Day

1. Agreement to these terms

These Terms of Service (the “Terms”) form a binding legal agreement between you (“you” or “your”) and Hopflara (“Hopflara”, “we”, “us”, or “our”) governing your download, access, and use of Brainlist (distributed on the App Store as Brainlist: Plan Your Day), including all of its features, content, and updates (collectively, the “app”). These Terms also serve as the End User License Agreement (EULA) for the app.

By downloading, installing, signing in to, or using Brainlist, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not download or use the app.

Brainlist is an iPhone-only, portrait-only application and requires iOS 18 or later. Certain features described in these Terms are available only to subscribers of Brainlist Pro, as set out below.

2. Eligibility

Brainlist is a general-audience productivity app and is not directed to children under 13 (or the higher minimum age required in your country, such as 16 in parts of the European Union). By using the app, you represent that you meet the minimum age in your jurisdiction and are old enough to form a binding contract, or that a parent or legal guardian who agrees to these Terms is setting up and managing the app on your behalf where permitted.

You also represent that you are not barred from using the app under the laws of your country of residence or any other applicable jurisdiction, and that you will use it only for lawful purposes. To use Brainlist you need a compatible iPhone running iOS 18 or later and an account created through Sign in with Apple.

3. Your account

Signing in is required to use Brainlist; there is no anonymous or guest mode for regular use. You create your account using Sign in with Apple. Authentication is handled natively by Apple; the app does not see or store your password.

You are responsible for maintaining the confidentiality and security of the Apple ID you use to sign in, and for all activity that occurs under your account. Keep your device passcode and Apple ID secure, and notify Apple promptly if you believe your account has been compromised. You agree to provide accurate information and not to impersonate any person or use another person's credentials without permission.

When you are signed in to iCloud, your content can sync across your devices through your own private iCloud/CloudKit database, as described in the Privacy Policy. You can sign out at any time from the app's Settings.

4. Licence to use the app

Subject to your compliance with these Terms, Hopflara grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to download and use one copy of Brainlist for your own personal, non-commercial purposes on an Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions and the Usage Rules set out in the App Store Terms of Service.

This is a licence, not a sale. Hopflara and its licensors retain all right, title, and interest in and to the app, and all rights not expressly granted to you are reserved. You may not transfer, resell, or redistribute the app, and you may use it only in the ways permitted by these Terms, by Apple's Usage Rules, and by applicable law. The prohibited-conduct restrictions in Section 8 also apply to your licence.

5. Subscriptions, billing & auto-renewal

Brainlist is free to download and includes a substantial set of features at no cost. Brainlist Pro is an optional, auto-renewing subscription that unlocks additional features. Brainlist Pro is offered in three plans:

Prices shown in the app are provided by the App Store for your region; the figures above are the configured United States prices and may vary by storefront and currency.

Billing

Brainlist Pro is sold and billed through your Apple App Store account using Apple StoreKit. Payment is charged to your Apple ID upon confirmation of purchase. Hopflara does not process or store your payment-card details; all payments are handled entirely by Apple.

Auto-renewal

Your subscription renews automatically for the same period and at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before each period ends. You can turn off auto-renewal at any time.

Manage or cancel

You can manage or cancel your subscription in your Apple ID subscription settings: on your device go to Settings > [your name] > Subscriptions, use the in-app “Manage subscription” link, or visit apps.apple.com/account/subscriptions. Cancelling stops future renewals; you keep Pro until the end of the current paid period. Because billing is handled entirely by Apple, Hopflara cannot cancel a subscription on your behalf.

What is included

The following are available to all signed-in users at no cost:

• Calendar, events, and reminders (multi-stage local notifications).
• Tasks with List, Eisenhower Matrix, and Wheel views, plus subtasks and dependencies.
• Brain Dump quick notes, including voice dictation.
• Focus sessions, the Garden gamification system, points, levels, daily streaks, and the growing tree.
• On-device productivity insights (peak hour, weekly chart, trend) and on-device coaching tips.
• Templates / Macros to batch-add task routines.
• Calendar import from device calendars and from .ics files, and .ics export.
• Cross-device sync via your private iCloud/CloudKit (when iCloud is available).
• On-device AI fallback suggestions (smart times, companion reminders, task breakdowns, and tips).
• Recently Deleted (Trash) restore.

Brainlist Pro additionally unlocks:

• Server-backed Brainlist AI: smart event-time suggestions, instant task breakdowns into subtasks, companion reminders, and personalised AI coaching tips.
• Plant care: add and track houseplants with watering and feeding reminders.

Each Brainlist Pro plan includes a 7-day free trial. If you don’t cancel at least 24 hours before the trial ends, it converts automatically to a paid subscription at the plan’s price.

6. Refunds

All purchases and subscriptions are processed by Apple, so refunds are handled by Apple under Apple's policies, not by Hopflara. Hopflara cannot directly issue refunds for purchases made through the App Store.

To request a refund, visit reportaproblem.apple.com and follow Apple's process. Except where required by applicable law or by Apple's own policies, subscription fees are non-refundable, and cancelling a subscription does not entitle you to a refund for the current paid period.

7. No advertising

Brainlist does not show advertisements. It contains no advertising SDK, does not collect the advertising identifier (IDFA), does not use SKAdNetwork, and performs no cross-app tracking, so it presents no App Tracking Transparency prompt. Your information is never sold or shared for advertising purposes. See our Privacy Policy for details.

8. Acceptable use & prohibited conduct

You agree to use Brainlist only for lawful purposes and in accordance with these Terms and Apple's Usage Rules. You must not, and must not attempt to, or permit anyone else to:

• copy, modify, adapt, translate, or create derivative works of the app except as expressly permitted by these Terms or by applicable law;
• reverse engineer, decompile, or disassemble the app, or otherwise attempt to derive its source code, except to the limited extent that such restriction is prohibited by applicable law;
• rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the app or your licence to it;
• remove, obscure, or alter any copyright, trademark, or other proprietary notices;
• circumvent, disable, or interfere with security, licensing, subscription, or digital-rights-management features, or access Pro features without an active subscription;
• use the app to violate any law or regulation, to infringe the intellectual-property or privacy rights of others, or to create, store, or transmit unlawful, infringing, harmful, or abusive content;
• use automated means (such as bots or scripts) to abuse the app, its AI features, or the third-party services it relies on, or to place an unreasonable load on those services;
• interfere with or disrupt the integrity or performance of the app or the networks and services connected to it, or attempt to gain unauthorised access to any account, system, or data;
• use the app in any way that could harm, harass, or deceive others, or that is otherwise unlawful or objectionable.

9. Your content and your responsibility for it

Brainlist lets you create and store content such as calendar events, tasks and subtasks, Brain Dump notes, plant records, and templates (“your content”). As between you and Hopflara, you own your content; Hopflara does not claim ownership of it.

Your content is stored on your device using Apple's SwiftData and, when iCloud is available, mirrored to your own private iCloud/CloudKit database. It is held in your iCloud account, not on Hopflara's servers. Hopflara does not routinely access the contents of your events, tasks, or notes. You grant Hopflara only the limited permissions necessary to operate the features you use, for example, to store and sync your content, and, where you enable the optional AI features, to transmit the relevant text to our third-party cloud AI provider for processing (see Section 11).

You are solely responsible for your content, including its accuracy and legality and your right to store it, and for keeping your own backups. Reminders, notifications, Focus sessions, and sync are conveniences to assist you; you should not rely on them alone for time-critical, safety-critical, or otherwise important matters. If you use voice dictation in Brain Dump, your audio is processed by Apple Speech as described in the Privacy Policy.

10. Intellectual property

The app and everything in it other than your content (including its software, source code, design, the “Greenhouse at dawn” visual style, the mascot and tree artwork, graphics, layouts, text, and the names Brainlist and Brainlist: Plan Your Day) is owned by Hopflara or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Except for the limited licence granted in Section 4, these Terms do not grant you any right, title, or interest in the app or any related intellectual property.

Apple's system font, SF Symbols, and other third-party names, logos, and marks (including those of Apple and Google) are the property of their respective owners and are used in accordance with their terms. If you choose to send Hopflara feedback, suggestions, or ideas about the app, you grant Hopflara a non-exclusive, royalty-free, perpetual licence to use them without restriction or any obligation to you.

11. AI features disclaimer

Brainlist's AI features (smart event-time suggestions, task breakdowns into subtasks, companion reminders, and personalised coaching tips) are optional and, in their server-backed form, require a Brainlist Pro subscription with a configured AI service. When enabled, the relevant text is sent over an encrypted HTTPS connection to our third-party cloud AI provider, which acts as our processor and returns a suggestion. No name, email, account identifier, or device identifier is attached to these requests, and we intentionally keep the specific provider and model unbranded. Full details are in the Privacy Policy.

AI outputs are generated automatically and may be inaccurate, incomplete, or unsuitable for your situation. They are provided for convenience only and do not constitute professional advice of any kind (including legal, medical, financial, or safety advice). Always review AI suggestions and apply your own judgement before relying on them, and do not enter information you would not want processed by a third-party provider. If you are a free user, are offline, or the AI service is unavailable, Brainlist automatically falls back to equivalent on-device suggestions, and no text is transmitted for AI.

12. Third-party services & links

Brainlist relies on services provided by third parties to deliver certain features. These services are governed by the third parties' own terms and privacy policies, and Hopflara is not responsible for them:

• Apple: Sign in with Apple, the App Store and StoreKit (subscriptions and restore), iCloud/CloudKit (private cross-device sync), Apple Speech (dictation), and push notifications (APNs). See Apple's Privacy Policy.
• Our third-party cloud AI provider: processes the text you submit through the optional AI features and returns suggestions, acting as our processor (used only when AI features are enabled).

Calendar import reads upcoming events (today onward) from the calendars set up on your device, which may include accounts you have linked in iOS (such as Google or Exchange). The app may also reference external websites or resources that Hopflara does not control; Hopflara is not responsible for their content or practices. Your use of any third-party service is at your own risk and subject to that party's terms.

13. Disclaimers (“as is”)

To the fullest extent permitted by law, the app is provided “as is” and “as available”, with all faults and without warranties of any kind, whether express, implied, or statutory. Hopflara disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

Hopflara does not warrant that the app will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that reminders, notifications, Focus sessions, AI suggestions, calendar import/export, or iCloud sync will always function or be accurate; or that your data will never be lost or corrupted. These features are aids only and should not be relied upon as your sole method of managing critical events, deadlines, or other important matters; please keep independent backups. Cross-device sync depends on Apple's iCloud and may be unavailable or delayed. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of liability

To the fullest extent permitted by law, in no event will Hopflara (or its licensors or suppliers) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, or for any missed events, tasks, deadlines, or reminders, arising out of or relating to your use of (or inability to use) the app, even if Hopflara has been advised of the possibility of such damages.

To the fullest extent permitted by law, Hopflara's total aggregate liability for all claims relating to the app will not exceed the greater of (a) the total amount you paid to Apple for the app or your Brainlist Pro subscription in the twelve (12) months before the event giving rise to the claim, or (b) USD $10.00. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you, and nothing in these Terms limits any liability that cannot be limited under applicable law.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Hopflara and its licensors and suppliers from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your content, your use or misuse of the app, your violation of these Terms, or your violation of any law or of the rights of any third party.

16. Termination

These Terms remain in effect for as long as you use the app. You may stop using Brainlist at any time by signing out in Settings and deleting the app; if you have a subscription, cancel it through Apple as described in Section 5 (deleting the app alone does not cancel a subscription).

Hopflara may suspend or terminate your licence and access to the app, with or without notice, if you breach these Terms or applicable law, and may modify or discontinue the app in whole or in part. Upon termination, the licence granted in Section 4 ends and you should delete the app. Your content remains under your control on your device and in your iCloud account; you can delete it via Recently Deleted in the app and remove synced data from your iCloud account (Settings > [your name] > iCloud > Manage Storage). Sections that by their nature should survive termination (including those on intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.

17. Changes to the app or these terms

Hopflara is continually improving Brainlist and may add, change, or remove features, or discontinue the app, at any time. The app currently requires iOS 18 or later, and future operating-system or platform changes may affect its functionality.

Hopflara may also update these Terms from time to time. When we do, we will revise the “Effective date” shown above and post the updated Terms. For material changes, we will provide reasonable notice where required by law. Your continued use of the app after updated Terms take effect constitutes your acceptance of them; if you do not agree, you should stop using the app.

18. Governing law

These Terms, and any dispute arising out of or relating to them or to the app, are governed by the laws of Ontario, Canada, without regard to its conflict-of-laws principles. Subject to any mandatory consumer-protection rights you have in your country of residence, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada to resolve any dispute.

Nothing in these Terms removes or limits any non-waivable statutory rights you may have as a consumer.

19. Apple-required terms

The following terms apply because Brainlist is distributed through the Apple App Store. To the extent of any conflict between this section and the rest of these Terms with respect to your use of the app obtained from the App Store, this section controls.

• This agreement is between you and Hopflara only, and not with Apple. Apple is not responsible for the app or its content.
• Scope of licence. The licence granted to you is limited to a non-transferable licence to use the app on any Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Maintenance and support. Hopflara, not Apple, is solely responsible for providing any maintenance and support for the app; Apple has no obligation to furnish any maintenance or support services.
• Warranty. Hopflara is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) you paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
• Product claims. Hopflara, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your use of it, including product-liability claims, claims that the app fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection or similar laws.
• Intellectual-property claims. In the event of a third-party claim that the app or your use of it infringes that party's intellectual-property rights, Hopflara, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of any such claim.
• Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist-supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple will have the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
